1. Who we are

AffiliateRail is operated by James Jonathan Barkway, trading as AffiliateRail (a sole trader established in England and Wales). Postal address: Affiliate Rail, 182-184 High Street North, East Ham, London E6 2JA, United Kingdom. Email: support@affiliaterail.com. "We", "us" and "AffiliateRail" mean the operator. "You" means the person or company that reserves a seat or uses the service.

2. What these terms cover

These terms govern (a) reserving a founding seat before launch, and (b) your use of the AffiliateRail service once it is live. By reserving a seat or using the service you agree to them. If you are agreeing on behalf of a company, you confirm you are authorised to do so.

4. Pre-launch reservation

1. What you are buying. A reservation for a subscription to the plan you chose (Launch, Grow or Scale) at the price shown on the page when you reserved. The service is not available yet. We intend to launch in November 2026.
2. What happens to your card. Reserving a seat saves your payment method with Stripe, our payment processor. We do not see or store your card number. No charge is made at reservation.
3. Trial and first charge. When we launch, your account is created and your 14-day free trial starts. Your first charge is the plan price, taken by Stripe 14 days after your trial starts, and monthly after that. We will email you before the trial starts and before the first charge.
4. If we are late. If the service is not available to you by 30 November 2026, your trial does not start, no charge is made, and we extend your reservation at no cost until it is. You may cancel at any point.
5. Cancelling. You can cancel your reservation or subscription at any time from the Stripe customer portal link in your confirmation email, or by emailing support@affiliaterail.com. Cancelling before your first charge costs nothing.
6. Founding price. Reservations made before launch are at founding prices ($29, $59 and $99 a month for Launch, Grow and Scale; usual prices $59, $89 and $179). You keep your founding price for as long as your subscription stays active without a break. If you cancel and later return, current pricing applies.
7. Plan changes. Until launch, email us to move between plans. After launch, plan changes are made from your account and take effect on the next billing date.

5. The service, once live

AffiliateRail is software that helps you run an affiliate or referral program: tracking referred visitors and customers through your billing provider, calculating commissions under rules you set, giving your affiliates a portal, and preparing and, on eligible plans, automatically triggering payouts.

• Your program, your rules. You decide commission rates, holding periods, minimum payouts, who is approved and what your affiliates are told. We provide defaults; you are responsible for the terms you offer your affiliates.
• Non-custodial payouts. Payouts are made from your own PayPal, Wise or Payoneer account using credentials you connect. AffiliateRail calculates what is owed and instructs your provider; we never receive, hold or transmit your funds or your affiliates' funds. You are the payer of record.
• Tax and compliance. Because you pay your affiliates directly, any obligation to collect tax information from them (for example W-8 or W-9 forms), to issue statements, or to withhold or report is yours. We provide fields to collect and store that information and export it; we do not validate it, file it or give tax advice.
• Third-party services. Stripe, PayPal, Wise and Payoneer are independent services with their own terms. We are not responsible for their availability, fees or decisions.
• Availability. We aim for the service to be available at all times but do not guarantee uninterrupted operation. We will give reasonable notice of planned maintenance.

6. Acceptable use

You must not use AffiliateRail to promote anything unlawful, to send unsolicited email, to track people without the notices and consents your jurisdiction requires, to defraud affiliates or customers, or to interfere with the service or other users. We may suspend an account that does, after contacting you where practical.

7. Your data

Our privacy policy explains what we collect and why. Where we process personal data about your customers or affiliates on your behalf, we act as your processor and you remain the controller. A data processing addendum will be available on request before launch.

8. Fees and billing

Prices are in US dollars and exclusive of any VAT or sales tax that applies to you. Subscriptions renew monthly until cancelled. We may change prices with at least 30 days' notice by email; founding seats (clause 3.6) are protected from increases while active.

9. Refunds

See our refund policy. In short: nothing is charged before launch; after your first payment you have a 30-day money-back guarantee, no questions asked; cancelling is separate and available any time, and takes effect at the end of your paid period rather than immediately, so you keep access you've already paid for and are not billed again after that.

10. Intellectual property

We own the AffiliateRail software and brand. You own your data, your program, and your brand as shown in your portal. You grant us the licence we need to operate the service for you, and nothing more.

10. Liability

Nothing in these terms limits liability that cannot be limited by law. Subject to that, we are not liable for loss of profit, revenue, business or data, or for indirect or consequential loss, and our total liability to you in any 12-month period is limited to the fees you paid us in that period. The service is provided "as is" during any beta or trial period.

11. Ending the agreement

You can cancel at any time (see our refund policy); cancelling takes effect at the end of your paid period, not immediately. We can end your account for a material breach of these terms, or if we discontinue the service, in which case we will refund any prepaid fees for the unused period.

12. Changes to these terms

We may update these terms. If a change is material we will email you at least 14 days before it takes effect. Continuing to use the service after that date means you accept the change.

13. Law and disputes

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, without affecting any consumer rights you have in your own country that cannot be excluded.
